These Terms of Service ("Terms") govern your access to and use of the Codilla platform ("Service"), operated by Ganakys Codilla Apps (OPC) Private Limited ("Company," "we," "us," or "our"), a company registered in India. By creating an account or using the Service, you agree to be bound by these Terms and all policies referenced herein, including our Privacy Policy, Acceptable Use Policy, Refund & Cancellation Policy, AI & LLM Usage Disclaimer, Cookie Policy, and Security Policy.
1. Acceptance of Terms
By accessing or using Codilla, you confirm that you are at least 18 years old and agree to comply with these Terms and all applicable laws. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
2. Description of Service
Codilla is an AI-powered product development platform that guides software ideas through a structured pipeline from concept to deployed product. The Service includes AI-driven conversation, code generation, knowledge graph management, project hosting, and deployment tools.
3. Account Registration
- You must provide accurate, complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Credit-Based Billing
- The Service operates on a prepaid credit model. You purchase credits which are consumed as you use AI-powered features.
- Credit packages and pricing are displayed before each purchase and are managed by the platform administrator. Pricing may vary and is shown at the time of purchase.
- Payments are processed through Razorpay. All purchases are final and non-refundable except as described in our Refund & Cancellation Policy.
- Unused credits do not expire as long as your account remains active.
- If your credit balance reaches zero, active AI operations will be paused until you add more credits.
- We reserve the right to change credit pricing with 30 days' advance notice. Price changes apply only to future purchases.
5. Intellectual Property — Your Content
- You own your content. All ideas, product descriptions, specifications, and any other content you provide to the Service remain your intellectual property.
- You own your generated code. All source code, configurations, documentation, and other artifacts generated by the Service for your projects are owned by you.
- You grant us a limited license to process your content solely to provide the Service to you.
- We do not use your content to train AI models or share it with third parties, except as necessary to provide the Service (e.g., sending prompts to AI providers).
6. Intellectual Property — Our Platform
- The Codilla platform, including its design, code, pipeline methodology, agent architecture, knowledge graph system, and all related technology, is our proprietary intellectual property.
- You may not copy, modify, reverse engineer, decompile, or create derivative works of the Service or any part thereof.
- The Codilla name, logo, and brand assets are our trademarks. You may not use them without our prior written consent.
- You may not scrape, crawl, or use automated tools to extract data or functionality from the Service.
7. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Service to:
- Violate any applicable law or regulation.
- Generate malicious software, malware, or code designed to harm others.
- Create products that infringe on third-party intellectual property rights.
- Attempt to bypass security measures, rate limits, or usage restrictions.
- Share account credentials or transfer accounts to third parties.
- Overload, disrupt, or interfere with the Service or its infrastructure.
- Use the Service to compete directly with Codilla or build a similar platform.
- Resell, sublicense, or distribute access to the Service without our consent.
8. AI-Generated Content Disclaimer
The Service uses artificial intelligence and large language models to generate code, specifications, and other content. For a comprehensive explanation of AI limitations and risks, see our AI & LLM Usage Disclaimer. Key points:
- AI-generated output may contain errors, bugs, security vulnerabilities, or factually incorrect information ("hallucinations").
- You are solely responsible for reviewing, testing, and validating all AI-generated content before using it in production.
- AI-generated content does not constitute professional advice of any kind — including legal, financial, medical, or security advice.
- We do not guarantee that AI-generated code will be free of defects, will meet your specific requirements, or will be suitable for any particular purpose.
- The Service includes automated security scanning and testing, but these are supplementary — they do not replace professional security audits for critical applications.
- AI-generated code may inadvertently resemble existing copyrighted works. You are responsible for ensuring compliance with third-party licenses.
9. Third-Party Services
The Service integrates with the following third-party services. Your use of the Service may be subject to the terms and policies of these providers:
- Anthropic (Claude API): AI processing and code generation. Your project content is sent to Anthropic for AI processing. See Anthropic's terms and acceptable use policy.
- Razorpay: payment processing. Your payment information is processed by Razorpay under their terms. We do not store payment card data.
- GitHub: optional code repository integration. If you connect your GitHub account, code is pushed to your repositories under your control and subject to GitHub's terms.
- SMTP (Email): email delivery for verification, notifications, and billing alerts.
We are not responsible for the availability, accuracy, or conduct of third-party services.
10. Service Availability
- We aim to maintain high availability but do not guarantee uninterrupted access.
- We may perform scheduled maintenance with advance notice when possible.
- We are not liable for downtime caused by factors outside our control.
11. Data and Privacy
Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your data.
12. Account Termination
- You may delete your account at any time through the Account Settings page.
- Account deletion has a 30-day recovery window. After 30 days, all data is permanently deleted.
- We may suspend or terminate your account if you violate these Terms, with or without notice.
- Upon termination, your right to access the Service ceases immediately. Any remaining credit balance is forfeited. See our Refund & Cancellation Policy for details.
13. Limitation of Liability
To the maximum extent permitted by law, Codilla shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
14. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
15. Indemnification
You agree to indemnify and hold harmless Codilla from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
16. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, wars, terrorism, riots, pandemics, government actions, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, Acceptable Use Policy, Refund & Cancellation Policy, AI & LLM Usage Disclaimer, Cookie Policy, and Security Policy, constitute the entire agreement between you and the Company regarding the Service. They supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
19. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
20. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Thiruvananthapuram, Kerala, India, except where prohibited by law.
